Terms of Service

Effective date: September 21, 2026

These Terms of Service ("Terms") form a binding agreement between Bajache, LLC ("Mosaic Biz", "Company", "we", "us", or "our") and the organization or individual that registers an account ("Customer", "you", or "your"). By creating an account, accessing, or using the Mosaic Biz platform (the "Service"), you agree to be bound by these Terms. If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind that entity, in which case "you" refers to that entity.

1. The Service

Mosaic Biz is a multi-tenant software platform that helps record labels and artist teams manage catalog data (artists, releases, credits, splits, sample clearances, and lyrics), track booking and sync-licensing opportunities, review A&R and distribution leads, monitor DSP performance, and plan marketing content, including features that use third-party artificial intelligence services to generate research, suggestions, and draft content ("AI Features"). Output from AI Features is provided for informational purposes only, may be inaccurate or incomplete, and does not constitute legal, financial, rights-clearance, or professional advice. You are solely responsible for reviewing and verifying any AI-generated content before relying on it or acting on it.

2. Accounts and Organizations

  • You must provide accurate information when creating an account and keep your login credentials confidential. You are responsible for all activity that occurs under your account.
  • Each customer operates within an isolated "organization" workspace. The organization owner controls who is invited, what role and data-access level each team member has, and may remove members or the organization's data at any time.
  • You must be at least 18 years old to create an account. The Service is intended for business use and is not directed to children.

3. Subscription, Fees, and Billing

  • Paid plans are billed in advance on a recurring basis (monthly or annually, as selected at signup) through our payment processor. Fees are non-refundable except where required by law or expressly stated otherwise.
  • We may change our pricing with at least 30 days' notice before the change takes effect for existing subscriptions. Continued use of the Service after a price change takes effect constitutes acceptance of the new pricing.
  • If a payment fails and is not resolved after reasonable notice, we may suspend or downgrade your access until payment is made.
  • You are responsible for any applicable taxes other than taxes on our net income.

4. Your Content and Data

"Customer Content" means the data, files, documents, catalog information, and other materials you or your team upload to or generate within the Service. As between you and us, you retain all right, title, and interest in Customer Content, including any underlying music, sound recordings, compositions, and related intellectual property. You grant us a limited, non-exclusive, worldwide license to host, store, process, transmit, and display Customer Content solely as necessary to provide, maintain, secure, and improve the Service, including sending relevant portions of Customer Content to the third-party AI subprocessors described in our Privacy Policy when you use AI Features.

You represent and warrant that you have all necessary rights, licenses, consents, and clearances to upload Customer Content to the Service and to authorize the processing described above, including rights relating to any sample clearances, splits, credits, or third-party materials you record in the catalog module.

5. Acceptable Use

You will not, and will not permit any user of your organization to:

  • Upload or process content that infringes any copyright, trademark, trade secret, right of publicity, or other intellectual property or proprietary right of any third party;
  • Use the Service to violate any applicable law, including music licensing and royalty laws;
  • Attempt to gain unauthorized access to another organization's data, probe or scan the Service's security, or interfere with its normal operation;
  • Reverse engineer, decompile, or attempt to extract the source code of the Service, except as permitted by law;
  • Resell, sublicense, or white-label the Service without our prior written consent;
  • Use the Service to build a competing product.

6. Third-Party Services

The Service integrates with third-party providers (including cloud hosting, database, email delivery, streaming-data, and AI providers, and, where enabled, social media platforms and payment processors) to operate certain features. Your use of features that connect to a third-party platform (for example, connecting a social media account or a payment method) is also subject to that third party's own terms, and we are not responsible for the acts or omissions of independent third-party providers.

7. Intellectual Property

Excluding Customer Content, the Service, including its software, design, text, graphics, the Mosaic Biz name and logo, and all related intellectual property, is owned by Bajache, LLC or its licensors and is protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable right to access and use the Service during your subscription term, solely for your internal business purposes.

8. Confidentiality

Each party may have access to non-public information of the other party. Each party agrees to use the other party's confidential information only as necessary to perform under these Terms and to protect it using at least the same degree of care it uses for its own confidential information of a similar nature, but no less than reasonable care.

9. Termination

You may cancel your subscription at any time from your account settings; cancellation takes effect at the end of the current billing period. We may suspend or terminate your access if you materially breach these Terms and fail to cure the breach within a reasonable period after notice, or immediately if necessary to prevent harm to the Service or other customers. Upon termination, your right to access the Service ends, and we will make Customer Content available for export for a reasonable period as described in our Privacy Policy before deleting it, except where retention is required by law.

10. Disclaimers

THE SERVICE, INCLUDING ALL AI FEATURES, IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT AI-GENERATED OUTPUT WILL BE ACCURATE, COMPLETE, OR SUITABLE FOR ANY PARTICULAR PURPOSE, INCLUDING RIGHTS CLEARANCE, ROYALTY CALCULATION, OR LEGAL COMPLIANCE.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEITHER PARTY WILL BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. EACH PARTY'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS WILL NOT EXCEED THE AMOUNTS YOU PAID TO US FOR THE SERVICE IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM. THESE LIMITATIONS DO NOT APPLY TO EITHER PARTY'S INDEMNIFICATION OBLIGATIONS, BREACH OF CONFIDENTIALITY, OR A PARTY'S GROSS NEGLIGENCE OR WILLFUL MISCONDUCT.

12. Indemnification

You will indemnify and hold Bajache, LLC harmless from any third-party claims, damages, and expenses (including reasonable attorneys' fees) arising from your Customer Content, your breach of these Terms, or your violation of any law or third-party right, including any claim that Customer Content you uploaded infringes a third party's intellectual property rights.

13. Governing Law and Disputes

These Terms are governed by the laws of the State of North Carolina, without regard to its conflict-of-laws principles. The parties will attempt in good faith to resolve any dispute informally before initiating a proceeding, which will be brought exclusively in the state or federal courts located in North Carolina, and each party consents to personal jurisdiction there.

14. Changes to These Terms

We may update these Terms from time to time. If we make material changes, we will notify you by email or through the Service at least 14 days before the changes take effect. Continued use of the Service after that date constitutes acceptance of the updated Terms.
